The agreement between QUORUM and Customers using our institutional decision-intelligence platform. Read these carefully — by signing up or using the Service, you agree to be bound by them.
QUORUM is a decision-support tool, not an investment adviser. Nothing in the Service constitutes personalized investment advice, a recommendation to buy or sell any security, or a guarantee of investment performance. See Section 9.
These Terms of Service (the "Terms") form a legal agreement between you and QUORUM, Inc. ("QUORUM," "we," or "us"). By creating an account, accessing, or using the Service, you confirm that you have read and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization and that your organization agrees to these Terms. In that case, "you" and "Customer" refer to your organization.
If you do not agree to these Terms, do not access or use the Service.
QUORUM provides an institutional decision-intelligence platform comprising a multi-agent investment-committee deliberation engine, IC Report generation, portfolio context tools, and related software (the "Service"). The Service is offered as a subscription, with feature availability determined by the plan tier the Customer has purchased.
We may modify, enhance, or discontinue features over time. Material reductions in functionality will be communicated to Customers in advance where reasonably practicable.
You must provide accurate, current, and complete information when creating an account, and you are responsible for maintaining the confidentiality of your credentials. You agree to notify us promptly of any unauthorized access at security@getquorum.ai.
Each user account is for a single named individual. You may not share credentials. Customer organizations may add or remove authorized users subject to the seat limits of their plan tier.
QUORUM is built for professional investment workflows. By signing up, you confirm that you are using the Service in connection with managing investment decisions — whether on behalf of a fund, firm, family office, or your own capital — and that you understand the Service is decision-support infrastructure, not personalized investment advice.
You agree not to:
We may suspend or terminate access for violations of this Section, with notice where reasonably practicable.
As between you and QUORUM, you retain all right, title, and interest in and to all content, data, and information you submit to the Service ("Customer Data"), including trade theses, portfolio information, agent deliberation records, and IC Reports.
You grant QUORUM a limited, non-exclusive, worldwide license to host, process, transmit, display, and otherwise use Customer Data solely as necessary to provide and improve the Service for your benefit, secure the Service, and comply with legal obligations. This license terminates when you delete the relevant Customer Data or when your subscription ends, subject to legal-hold and backup retention windows.
QUORUM does not use Customer Data to train, fine-tune, or otherwise improve foundation models — neither models we operate nor those operated by our AI subprocessors. Customer Data is processed only to deliver the Service to you.
We may produce aggregated, anonymized, or de-identified data from operational use of the Service (for example, usage statistics or performance metrics) and may use such data for product improvement, research, and benchmarking. Such data does not identify any Customer or individual user.
Subscription fees are payable in advance according to the plan tier and billing cadence selected by the Customer. Fees are stated in US dollars and are exclusive of taxes, which the Customer is responsible for.
We bill through Stripe and may suspend access for invoices unpaid more than thirty (30) days past due. Free trials, where offered, automatically convert to paid subscriptions at the end of the trial period unless cancelled before the trial ends.
Except where required by applicable law, fees are non-refundable. Annual subscriptions are not pro-rated upon early cancellation; you retain access through the end of the paid term.
These Terms remain in effect for as long as the Customer maintains an account. Either party may terminate the agreement at the end of the then-current subscription term by providing written notice; subscriptions otherwise renew automatically.
We may terminate or suspend access immediately if a Customer materially breaches these Terms, fails to pay, becomes insolvent, or engages in conduct that exposes QUORUM or its Customers to legal or security risk.
Upon termination: (a) your right to access the Service ends; (b) we will, on request and within a reasonable period, return or delete Customer Data subject to legal holds and backup retention; (c) provisions that by their nature should survive — including those relating to confidentiality, disclaimers, liability, and governing law — will survive.
Each party may disclose Confidential Information to the other in connection with the Service. The receiving party will protect the disclosing party's Confidential Information using at least the same degree of care it uses for its own confidential information of similar sensitivity (and no less than reasonable care), will not disclose it to third parties except subprocessors bound by similar obligations, and will use it only to perform under these Terms.
Confidential Information does not include information that is or becomes public through no fault of the receiving party, was known to the receiving party without restriction prior to disclosure, is independently developed without use of the other party's information, or is required to be disclosed by law (with reasonable advance notice where permitted).
QUORUM is a decision-support and documentation tool. Nothing produced by the Service — including agent verdicts, IC Reports, recommendations, signals, or commentary — constitutes investment advice, a solicitation, an offer, or a recommendation to buy or sell any security. All investment decisions, and all responsibility for them, remain with the Customer and its authorized users. The Service is not a registered investment adviser, broker-dealer, or fiduciary.
Historical accuracy, win rates, counterfactual outcomes, and other performance metrics surfaced by the Service are based on observed prior data and do not predict or guarantee future results. Markets are uncertain; agent verdicts may be wrong; risk-management signals may fail to detect novel risks.
While the Service is designed to support documentation aligned with SEC Rule 204-2 and similar regimes, QUORUM does not provide legal, regulatory, or compliance advice. You are solely responsible for ensuring that your use of the Service satisfies your own regulatory obligations.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation, except to the extent such warranties cannot be disclaimed under applicable law.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost trading opportunities, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
Each party's aggregate liability arising out of or related to these Terms will not exceed the amounts paid by the Customer to QUORUM in the twelve (12) months preceding the event giving rise to the claim.
These limitations do not apply to liability arising from gross negligence, willful misconduct, fraud, indemnification obligations, or breaches of confidentiality, where prohibited by applicable law.
Customer will defend, indemnify, and hold harmless QUORUM and its officers, employees, and agents from and against third-party claims arising out of (a) Customer Data; (b) the Customer's use of the Service in violation of these Terms or applicable law; or (c) any investment decision or action taken by Customer based on output from the Service.
QUORUM will defend, indemnify, and hold harmless Customer from third-party claims that the Service, as provided by QUORUM and used in accordance with these Terms, infringes a valid US patent, copyright, or trademark — subject to the limitations set forth in Section 10.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and the parties consent to the personal jurisdiction of those courts.
To the extent permitted by law, each party waives the right to a jury trial and the right to participate in any class or collective action.
We may update these Terms from time to time. When we make material changes, we will notify Customers in advance through the Service or by email and update the "Last updated" date at the top of this page. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms. If you do not agree to a change, you may terminate your subscription before the change takes effect.
Entire agreement. These Terms, together with the Privacy Policy and any order forms or written enterprise agreements signed by the parties, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements.
Assignment. Customer may not assign these Terms without QUORUM's prior written consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets. QUORUM may assign these Terms freely.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force.
No waiver. A failure to enforce any right under these Terms is not a waiver of that right.
Force majeure. Neither party is liable for delays or failures due to causes beyond its reasonable control.
Notices. Notices to QUORUM must be sent to legal@getquorum.ai. Notices to Customer may be sent to the email address on the Customer's account.
